Fictitious Business Names (FBN)

PLEASE READ ALL INSTRUCTIONS BEFORE PROCEEDING WITH FICTITIOUS BUSINESS NAME FILING(S).

It is the responsibility of the registrant to read and to be familiar with the requirements for filing an FBN Statement. If you have legal questions regarding filing any of the documents, a complete version of the Business and Professions Code is available for reference at http://leginfo.legislature.ca.gov/.

The County Clerk staff is not permitted to advice customers on legal matters concerning the filing of an FBN statement. Customer assistance will be limited to general questions concerning completion of the form.

NOTE:  This office does not issue Business Licenses. Licenses to operate a business are controlled locally by cities, and in unincorporated areas, by County Government.

WHO SHOULD FILE
Persons doing business for profit under a fictitious name (does not include surname in company name)
Statement must be filed in county of principal place of business and may also be filed in other counties as long as the requirements for filing in the county of principal place of business have been met
REQUIREMENTS TO FILE: $35 fee plus $6 for each additional owner/business name
File within 40 days of business start date
Valid government issued picture identification card
An Affidavit of Identity must be completed and attached to your filing. If submitting your statement by mail, you must also have the Affidavit notarized. If statement is being submitted by a third party a notarized Affidavit of Identity – Authorized Agent Form must also be submitted.
If filing as a Corporation, Limited Liability Company, or Limited Liability Partnership, an original Certificate of Status issued by the Secretary of State must be included.

Street address of principal place of business and county must be listed (Corporation/Limited Liability Companies must include address as set out in its articles of incorporation on file with the Secretary of State and state of incorporation/organization)
All owners and their residence addresses must be listed
Owner must sign (corporate officer if corporation; manager or officer if limited liability company)
PUBLICATION
State law requires that within the next 30 days of filing, the registrant must publish a statement in a newspaper of general circulation in the county in which the principal place of business is located, once a week for four successive weeks.
